WRKRS, LLC ("WRKRS," "we," "us," or "our") is committed to protecting your privacy. This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you use the WRKRS mobile application and platform (the "Platform"). By accessing or using the Platform, you agree to the terms of this Privacy Policy.

The WRKRS Platform is not intended for use by individuals under the age of 18. We do not knowingly collect personal information from children. If we become aware that we have inadvertently received data from a child, we will take reasonable steps to delete it.

We reserve the right to modify this Privacy Policy at any time. We will notify users of material changes by posting an updated version within the Platform or sending an email. Continued use of the Platform following such changes constitutes your acceptance of the updated Policy.

Independent Contractor Agreement

This Independent Contractor Agreement (the "Agreement") is entered into and made effective as of the date of acceptance by the Contractor (the "Effective Date"), by and between WRKRS, LLC, a limited liability company organized and existing under the laws of the State of South Carolina ("Company" or "WRKRS"), and the independent service provider accepting this Agreement through the WRKRS Platform ("Contractor").

WHEREAS, the Company operates a technology platform that connects clients with independent service providers for a variety of services; and WHEREAS, the Contractor desires to access the WRKRS Platform to offer and deliver services to clients, independently and at their discretion; NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. Scope of Services

The Contractor shall have the right to determine the type, scope, timing, location, and pricing of services offered via the WRKRS Platform. The Contractor agrees to perform all services in a professional, timely, and lawful manner and shall be solely responsible for service quality and customer interaction.

2. Independent Contractor Status

The parties acknowledge and agree that the Contractor is and shall remain an independent contractor. Nothing in this Agreement shall be construed to create any employer-employee relationship, partnership, joint venture, or agency. The Contractor shall not be entitled to any benefits provided by the Company to its employees.

3. Contractor Responsibilities

The Contractor shall provide all tools, equipment, transportation, and supplies necessary to perform the agreed services. The Contractor is solely responsible for any applicable taxes, insurance, licenses, or permits. Background checks and certifications may be encouraged but are not required.

4. Payments and Platform Fees

The Contractor shall receive compensation solely from the fees collected through the Platform. The Company shall deduct applicable platform fees prior to remittance. The Contractor authorizes the Company or its third-party processor to disburse payments according to the Company's established schedule.

 

5. Platform Access and Conduct

The Contractor agrees to comply with all applicable laws and the Platform's user conduct policies. The Company reserves the right to restrict or revoke access to the Platform in the event of unlawful or unethical behavior.

6. Non-Solicitation

During the term of this Agreement and for a period of twelve (12) months following termination, the Contractor shall not directly solicit or accept business from any client initially introduced to them through the Platform, except through continued use of the Platform.

7. Confidentiality

The Contractor agrees not to disclose any confidential, proprietary, or sensitive information related to the Company or its clients, including without limitation user data, business practices, or platform design. This obligation shall survive the termination of this Agreement.

8. Limitation of Liability

The Company shall not be liable for any damages or losses arising from services rendered by the Contractor, including but not limited to injury, property damage, financial loss, or legal claims by third parties. The Contractor shall indemnify and hold the Company harmless from any such claims.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of South Carolina. Any dispute arising under or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Columbia, South Carolina.

10. Entire Agreement and Modification

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements or understandings. WRKRS reserves the right to amend this Agreement, with notice to Contractors provided electronically through the Platform.

By accepting this Agreement through the WRKRS Platform, the Contractor acknowledges that they have read, understood, and agreed to be legally bound by the terms herein.

 

Client Platform Use Agreement – WRKRS

This Client Platform Use Agreement (the "Agreement") is entered into by and between WRKRS, LLC, a limited liability company organized under the laws of the State of South Carolina ("Company" or "WRKRS"), and each individual or entity who accesses, registers for, or uses the WRKRS mobile application to request services ("Client"). By accessing or using the WRKRS Platform (the "Platform"), Client agrees to be legally bound by the terms set forth herein.

1. Platform Purpose and Functionality

The WRKRS Platform is a digital venue designed to connect Clients with independent contractors offering various services. WRKRS acts solely as a neutral intermediary and does not directly provide any services nor warrant the outcomes of services rendered by contractors.

2. Client Account and Verification

To access services through the Platform, Clients must register an account and provide accurate identification and valid payment information. WRKRS may verify such information before enabling any booking. WRKRS reserves the right to decline or revoke access if verification fails or is incomplete.

3. Payment Authorization and Fees

Clients authorize WRKRS or its third-party payment processor to charge their designated payment method for services arranged through the Platform. WRKRS may apply platform fees and service charges as published at the time of booking.

4. Service Interactions and Contractor Relationship

All services are delivered by independent contractors who are not employees, agents, or representatives of WRKRS. Clients acknowledge that WRKRS does not supervise, control, or guarantee contractor conduct, credentials, or outcomes.

5. Dispute Resolution and Refund Policy

In the event of dissatisfaction or dispute regarding a service, Clients may request support through WRKRS. WRKRS reserves the right to issue refunds, credits, or take other remedial action at its sole discretion, but shall not be liable for losses or damages resulting from contractor performance.

 

6. User Reviews and Conduct

Clients may provide feedback and ratings for contractors. All reviews must be honest, lawful, and free from abusive or defamatory language. WRKRS reserves the right to moderate or remove content that violates these standards or applicable law.

7. Acceptable Use and Prohibited Activities

Clients agree not to use the Platform for any illegal, harmful, or abusive purposes. Harassment, fraud, unauthorized account access, or any form of exploitation is strictly prohibited. WRKRS reserves the right to suspend or terminate any account for violations of this Agreement.

8. Limitation of Liability

WRKRS shall not be liable for any direct or indirect damages, losses, or injuries resulting from services arranged through the Platform. Clients use the Platform at their own risk and agree to hold WRKRS harmless from any claims or disputes arising from contractor engagements.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed under the laws of the State of South Carolina. All disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Columbia, South Carolina.

10. Amendments and Notifications

WRKRS may modify this Agreement from time to time. Material updates will be communicated via email or in-app notification. Continued use of the Platform after such notice constitutes acceptance of the revised terms.

BY REGISTERING AN ACCOUNT AND USING THE PLATFORM, THE CLIENT AFFIRMS THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THE TERMS OF THIS AGREEMENT.

 

User Content and Review Policy – WRKRS

This User Content and Review Policy (the "Policy") governs all content submitted by users of the WRKRS Platform, including but not limited to service descriptions, reviews, messages, profiles, images, and other user-generated material ("Content"). By submitting Content to the Platform, users agree to comply with the standards and restrictions set forth below.

1. Permitted Content

Users may submit Content that is truthful, respectful, and relevant to the services offered and requested through the Platform. Permissible submissions include:

  • Honest service reviews and feedback
  • Profile biographies and images
  • Service descriptions and work samples
  • Messages exchanged between users for service coordination

2. Prohibited Content

The following types of Content are strictly prohibited and may result in content removal, account suspension, or legal reporting:

  • Obscene, offensive, or sexually explicit material
  • Defamatory, harassing, or threatening language
  • False, misleading, or fraudulent statements
  • Hate speech or discriminatory remarks
  • Spam, promotions, or unrelated commercial content
  • Infringement of intellectual property rights (including copyrighted photos or trademarks)

3. Ownership and License

Users retain ownership of the Content they submit but grant WRKRS a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute such Content for the operation, promotion, and improvement of the Platform.

4. Content Moderation

WRKRS reserves the right, but not the obligation, to review, screen, edit, or remove any Content submitted to the Platform. Content may be removed at WRKRS's sole discretion without prior notice if it is found to violate this Policy or any applicable law.

 

5. Review Guidelines

User reviews must:

  • Be based on actual experiences
  • Avoid profanity or offensive language
  • Not disclose private or sensitive information
  • Not be used to threaten, extort, or manipulate other users

6. Reporting Violations

Users may report Content that they believe violates this Policy by using the report feature within the Platform or by contacting WRKRS directly. WRKRS will investigate all reports and take action as deemed appropriate.

7. Limitation of Liability

WRKRS does not endorse or guarantee the accuracy of any user-submitted Content. Users acknowledge and agree that they submit Content at their own risk and that WRKRS is not liable for any damages or losses resulting from the publication or removal of Content.

By submitting Content or continuing to use the Platform, users agree to comply with this Policy. WRKRS reserves the right to modify this Policy at any time, with notice provided via the Platform.
